1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and RAM AI Automations LLC ("RAM AI," "we," "us," or "our"), governing your access to and use of our website at ramaiautomations.com and all AI-powered services, including Aria — our AI Front Desk Manager (collectively, the "Services").
By accessing our website, requesting a demo, signing a service agreement, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Services.
2. Description of Services
RAM AI Automations provides AI-powered front desk management and business automation services, including but not limited to:
- 24/7 AI voice call answering and handling
- Automated appointment booking and calendar management
- Missed-call SMS follow-up and lead qualification
- Bilingual (English and Spanish) call handling
- Patient and customer memory and personalization
- Call transcription, recording, and searchable call intelligence
- Weekly revenue recovery and performance reporting
- CRM, calendar, and third-party software integrations
- Business automation workflows via n8n and related platforms
Services are delivered as described on our website and in your individual service agreement. We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business to use our Services. By using our Services, you represent and warrant that you meet these requirements.
4. Account and Service Setup
Activating your account requires a one-time setup fee as described on our pricing page. Setup includes custom AI voice configuration, phone number provisioning, business-hours scripting, integration with your calendar and CRM, and going live within 48 hours of completed onboarding.
You are responsible for providing accurate business information, call scripts, and calendar access required for setup. Delays caused by incomplete information from your side do not entitle you to a refund of the setup fee.
5. Payment Terms
All fees are stated in US dollars. Monthly subscription fees are billed in advance on a recurring basis through our payment processor (Stripe). By providing payment information, you authorize RAM AI to charge you on the agreed schedule.
- Setup Fee: One-time, non-refundable. Due prior to or at launch.
- Monthly Fee: Billed on the same date each month. Non-refundable once the billing period has started.
- Failed Payments: If a payment fails, we will attempt to collect within 7 days. Services may be suspended after two consecutive failed billing attempts.
- Price Changes: We will provide at least 30 days' written notice of any price changes. Continued use after the effective date constitutes acceptance.
Additional usage charges (e.g., Twilio SMS messaging fees, telephony overage) may apply and will be disclosed to you in advance where applicable.
6. Cancellation and Refunds
You may cancel your subscription at any time by providing 30 days' written notice to Ramon.Navarro@ramaiautomations.com. Service will continue through the end of your current billing period. No partial refunds are issued for unused days within a billing cycle.
The one-time setup fee is non-refundable. If you cancel before going live after setup is complete, the setup fee is still earned and will not be refunded.
7. Acceptable Use
You agree not to use our Services to:
- Violate any applicable federal, state, or local law or regulation, including telemarketing and TCPA compliance rules
- Engage in deceptive, misleading, fraudulent, or illegal communications with callers
- Harass, abuse, threaten, or harm any person
- Collect or store personal data of callers in violation of applicable privacy laws
- Attempt to reverse-engineer, copy, or create derivative works from any RAM AI technology or AI model
- Resell or sublicense the Services to any third party without our prior written consent
We reserve the right to suspend or terminate your account immediately for material violations of this section without refund.
8. Client Responsibilities
You are responsible for:
- Maintaining the accuracy of business information, call scripts, and calendar availability
- Complying with all applicable laws governing AI use, call recording, and consumer communications in your jurisdiction
- Notifying callers where required by law that calls may be handled by or recorded by an AI system
- Reviewing AI-generated transcripts and summaries for accuracy before acting on them
- Maintaining appropriate patient and customer consents for data storage where required (e.g., HIPAA, CCPA)
9. Intellectual Property
All technology, software, AI models, workflows, designs, and content comprising the Services are the exclusive intellectual property of RAM AI Automations LLC or its licensors. These Terms do not grant you any ownership interest in the Services.
You retain ownership of your business data, call recordings, and customer information. By using the Services, you grant RAM AI a limited license to process that data solely to deliver and improve the Services.
10. Confidentiality
Both parties agree to keep confidential any non-public business information exchanged in connection with the Services. This obligation survives termination of these Terms for a period of two (2) years. RAM AI will not disclose your customer data or call content to third parties except as necessary to operate the Services or as required by law.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RAM AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE PERFECTLY ACCURATE AT ALL TIMES.
AI systems may make errors. You are responsible for reviewing AI-generated content, bookings, and communications before relying on them for business decisions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAM AI AUTOMATIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO RAM AI IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless RAM AI Automations LLC and its officers, employees, and contractors from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable law.
14. Service Level and Uptime
We target 99.5% monthly uptime for core call-answering functionality. Scheduled maintenance will be communicated in advance where possible. Downtime caused by third-party providers (ElevenLabs, Twilio, OpenAI, or others) is outside our direct control but we will work to restore service as quickly as possible.
15. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms. The current version will always be available at ramaiautomations.com/terms.
16. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction therein.
Before initiating any formal dispute, both parties agree to attempt to resolve the matter informally by contacting the other party in writing and allowing 30 days for resolution.
17. Termination
Either party may terminate the Services with 30 days' written notice. RAM AI may terminate immediately for material breach, non-payment, or violations of the Acceptable Use policy. Upon termination, your right to access the Services ceases and we will provide your data in a standard export format upon request within 30 days.
